According to the NZ Loyal’s Constitution a super majority of 80% of the voting membership is required to dissolve the party. Yet Liz Gunn unilaterally decided to wind up the party and had it de-registered by the Electoral Commission against article 13.1 of the constitution.

Article 13: Dissolution

  1. The Members may decide, by a resolution passed with the affirmative vote of at least 80%
    of the votes cast by Members voting at a Special Conference convened for that purpose
    resolve that the Party shall be wound up.

Furthurmore, Gunn claimed the AGM held on the 30th November 2024 in Auckland was illegitimate, despite it adhering to the party’s constitution by exceeding the 50 members required to force a Special General Meeting and the 50 members required to hold quorum at an SGM or AGM.

2. Special General Meetings (SGMs). Any general meeting of the Party except the Annual
General Meeting is a Special General Meeting. The Board may convene a SGM whenever it
thinks fit. Party members may also call a SGM by a petition to the Board of not less than 50
members. The petition will include agenda items for the SGM. References in these rules to
General Meetings includes SGMs.

5. Quorum. An item of business may not be transacted at a General Meeting unless a quorum
of members entitled to vote is present while the item is being transacted. The quorum has at
least 50 members.

The fact that the party was dissolved illegitimately and then more than 50 members went on to hold a General Meeting, shows that the election of Kelvyn Alp as leader is entirely legitemate and constitutional. Furthurmore, he now leads the original NZ Loyal entity not a new entity as Gunn claims.

As a result the Intellectual Property and funds allegedly held by Gunn should rightfully be returned to NZ Loyal’s new leadership team.
